Openness about our corporate governance principles, practices and structure is an important element of our approach to corporate governance. At RBPlat we believe we have a responsibility to maintain stakeholder confidence in our governance and accountability and how we do business. We view maintaining this confidence as an important measure of our success as a responsible corporate citizen.
At RBPlat sustainability is overseen at the highest level by our Board Social and Ethics Committee.
RBPlat annually commissions independent third-party assurance on the sustainability information in its integrated report.
Board diversity and independence
RBPlat has diversity targets in place for its Board membership which are:
- 50% of our Board members are to be black
- 50% of our Board members are to be female
We continually exceed our black membership target but have not as yet met our female membership target.
The majority of RBPlat’s directors are independent non-executive directors and a lead independent non-executive director has also been appointed.
KPIs and executive remuneration
RBPlat’s remuneration policy is designed to promote the creation of sustainable value. Executives are measured against key company performance areas, which include safety performance, governance and sustainability (the key performance measures include social and labour plan project delivery and risk and assurance maturity). The individual performance of executives is measured against key performance areas in terms of strategy, organisational structure, capital management, ESG and safe production.
The Board of RBPlat assumes responsibility for the governance of risk, sets the direction for how we approach and address risk, and mandates the Audit and Risk Committee to exercise ongoing oversight of risk management.
Our Enterprise Risk Management (ERM) approach provides an integrated, standardised approach to identifying, assessing and managing sustainability risks and opportunities.
